1. Agreement to Terms
These Terms of Use ("Terms") constitute a binding legal agreement between you and Godere Innovations Limited ("Godere," "we," "us," or "our") governing your access to and use of RouteGrid, including our website, mobile applications, agent applications, and all related services (collectively, the "Platform").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue all use of the Platform.
This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Platform, the content, products, or services provided by or through the Platform, and the subject matter of this Agreement.
2. About RouteGrid
2.1 Our Service
RouteGrid is a technology-enabled errand coordination and execution platform that provides structured, route-optimized coordination of everyday movement tasks, including:
- Pickups and drop-offs
- Multi-stop errands
- Package collection and delivery
- Related coordination and logistics services
RouteGrid combines software intelligence with human execution to provide a structured errand infrastructure system.
2.2 What We Are Not
RouteGrid is not a gig marketplace, a bidding or auction platform, a task marketplace with negotiated pricing, or a delivery-only application.
2.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, for maintenance, updates, or business requirements.
3. User Accounts
3.1 Account Creation
To access certain features, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorised access or suspected security breach
3.2 Account Responsibility
You are solely responsible for all activity that occurs under your account. Godere is not liable for any losses or damages arising from unauthorised use of your account credentials.
3.3 Account Termination
We may suspend or terminate your account at any time, with or without cause or advance notice, including for violations of these Terms or conduct we determine to be harmful to the Platform or other users.
4. Acceptable Use
4.1 Permitted Use
You may use the Platform solely for lawful purposes and only to the extent expressly permitted under these Terms. You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform for personal or internal business purposes only.
4.2 Prohibited Conduct
You must not:
- Use the Platform for any unlawful, fraudulent, or harmful purpose
- Reproduce, distribute, modify, or exploit any part of the Platform without our prior written consent
- Interfere with or disrupt the operation or security of the Platform
- Attempt to gain unauthorised access to any system, network, or data associated with the Platform
- Incorporate any Platform content into any information retrieval system, electronic or mechanical, except for your own personal use
- Engage in any conduct that could damage, disable, or impair the Platform or other users' enjoyment of it
5. Intellectual Property Rights
All content on the Platform — including but not limited to text, graphics, logos, icons, images, software, and design elements — is the property of Godere Innovations Limited or its licensors and is protected by applicable intellectual property laws.
No part of the Platform may be reproduced, distributed, modified, or exploited without our prior written consent.
6. Service Execution & Limitations
6.1 Nature of Service
RouteGrid coordinates human-executed errands. While we strive for reliability and predictability, execution times may vary due to operational or external factors, external conditions (such as traffic, weather, or third-party constraints) may affect completion, and certain requests may be declined at our discretion.
6.2 No Guarantees
RouteGrid does not guarantee exact delivery or completion times, uninterrupted availability of the Platform, or suitability of the service for every use case or request type.
7. Pricing and Payments
You represent and warrant that when purchasing from us or from Merchants via the Platform: pricing is presented upfront before your purchase is confirmed; any payment information you supply is true and complete; charges incurred by you will be honoured by your payment provider; and you will pay all charges at the posted prices, including any applicable taxes.
8. Cancellations & Adjustments
Errand requests may be subject to cancellation policies, adjustment in fees based on errand scope or changes, and partial charges depending on the execution stage at the time of cancellation. Specific cancellation and adjustment rules will be communicated to you within the Platform prior to confirmation of your request.
9. Indemnification
You agree to indemnify, defend, and hold harmless Godere Innovations Limited and its partners, directors, officers, employees, attorneys, advertisers, product and service providers, and affiliates (collectively, "Affiliated Parties") from and against any and all liability, loss, claim, and expense, including reasonable legal fees, arising out of or related to your violation of these Terms, your use or misuse of the Platform, any content you submit or transmit through the Platform, or your violation of any rights of another party.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Godere Innovations Limited, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Platform.
In no event shall Godere's total aggregate liability to you for all claims arising out of or relating to the Platform exceed the total amount, if any, paid by you to Godere for access to the Platform in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Godere disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and completeness of content, and non-infringement of third-party rights.
We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
12. Privacy Policy
Our Privacy Policy, as it may be updated from time to time, forms part of this Agreement and is incorporated herein by reference. By using the Platform, you also agree to the terms of our Privacy Policy.
13. Securities Laws
This Platform may include forward-looking statements concerning our operations, prospects, strategies, financial condition, future economic performance, and demand for our services. These statements are based on assumptions and estimates subject to significant uncertainties, many of which are beyond our control. Nothing on this Platform constitutes an offer or solicitation of an offer for the sale of any securities.
14. Modification of These Terms
RouteGrid reserves the right to modify or update these Terms at any time at its sole discretion. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Godere Innovations Limited is registered, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the competent courts in Godere's registered jurisdiction.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will otherwise remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and Godere Innovations Limited with respect to the Platform and supersede all prior agreements, representations, and understandings.
